These Terms of Service ("Terms") constitute a legally binding agreement between you ("Contractor," "you," or "your") and CFD Ventures LLC, doing business as Roffy ("Roffy," "we," "us," or "our"), a North Carolina limited liability company operating at roffy.io. By accessing or using our platform, creating an account, or purchasing leads, you agree to be bound by these Terms in full. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing roffy.io, clicking "I Agree," creating an account, or completing a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity, and "you" refers to both you individually and the entity.

Your continued use of the Service after any modifications to these Terms constitutes acceptance of the revised Terms.

2. Service Description

Roffy is a business-to-business (B2B) lead generation platform that provides roofing contractors with leads for potential roof replacement and repair projects. Our Service includes:

• Identification of properties with potential roofing needs using publicly available data sources including public records, county assessor databases, building permit filings, satellite and aerial imagery analysis, and people-search databases.
• Compilation of lead data including property addresses, estimated roof conditions, homeowner contact information, and confidence scoring.
• Delivery of leads through the Roffy platform dashboard and/or via electronic export.

Roffy does not perform roofing work, provide roofing estimates, or act as a broker between homeowners and contractors. We are a data and lead generation service only.

3. Account Registration and Contractor Responsibilities

3.1 Eligibility

The Service is intended for licensed roofing contractors and roofing businesses operating within the United States. By registering, you represent that you are at least 18 years of age, legally authorized to do business in your operating jurisdiction, and hold any required contractor licenses.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials. You are solely responsible for all activity that occurs under your account.

3.3 Contractor Responsibilities

You are solely responsible for:

• Complying with all applicable federal, state, and local laws when contacting leads, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable Do Not Call (DNC) regulations.
• Maintaining any required business licenses, contractor licenses, insurance, and bonding in your operating areas.
• The manner, timing, and content of all communications you initiate with leads.
• Maintaining your own DNC suppression lists and honoring opt-out requests.

4. Pricing, Payment Terms, and Billing

4.1 Pricing

Roffy offers three retail tiers (Starter, Pro, Elite) and a separately-negotiated Enterprise plan for multi-seat / multi-region operators. Prices are subject to change with notice.

Each retail subscription consumes a portion of its Region's monthly lead capacity proportional to its tier (Starter 50, Pro 150, Elite 400 leads/month). Each Enterprise seat consumes 150 leads/month equivalent (Pro-tier baseline) plus any negotiated extras. See Section 6 for the full capacity model.

4.2 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize Roffy and Stripe to charge the applicable fees to your designated payment method. Roffy does not store your full credit card details on our servers.

4.3 Billing

• One-time purchases are charged at the time of order. No setup fee applies.
• Monthly subscriptions are billed on a recurring basis on the same calendar day each month. If the original billing day does not exist in a given month, billing occurs on the last day of that month.
• One-time setup fee on first-time monthly signups. The first invoice on a new monthly subscription includes a one-time setup fee in addition to the first month's recurring charge. The fee is tier-specific: $199 (Starter), $299 (Pro), or $499 (Elite). The setup fee covers initial region-slot provisioning, scraper configuration for your service area, and seeding of your initial lead pool. The fee is charged only on the first invoice; subsequent monthly invoices are the recurring tier price only. The setup fee is automatically waived for any customer who has previously made a paid one-time purchase from Roffy under the same email address. The setup fee, like all fees, is non-refundable except as expressly stated in Section 5 (Lead Quality Guarantee).
• All fees are in U.S. dollars and are non-refundable except as expressly stated in Section 5 (Lead Quality Guarantee).

Monthly subscriptions automatically renew each billing cycle until you cancel. You can cancel anytime from your dashboard's Billing section or by emailing hello@roffy.io.

4.4 Failed Payments

If a payment fails, we may retry the charge and/or suspend your account and lead delivery until the balance is resolved. Continued failure to pay may result in account termination.

4.5 Enterprise and Multi-Seat Plans

Enterprise plans are sold under a separate written agreement between Roffy and a designated Partner Admin, who is responsible for provisioning and managing multiple contractor seats under a single partner account. Enterprise pricing, seat counts, and Region allocations (including multi-Region or state-wide bundles) are negotiated on a case-by-case basis and are governed by the applicable enterprise order form in addition to these Terms.

Each seat provisioned under a partner account is a sub-licensee bound by these Terms and by the Acceptable Use Policy, Prohibited Uses, API restrictions, and all other contractor obligations described herein. The Partner Admin is responsible for ensuring each seat reviews and complies with these Terms.

The Partner Admin is solely responsible for payment of the partner subscription. Individual seats may not be separately invoiced by Roffy. If the partner subscription is cancelled, suspended, or terminated for any reason, all seats associated with that partner account will lose access at the end of the current paid cycle.

Any Region slots released when a partner account is terminated are subject to the same waitlist and reassignment rules described in Section 6.

5. Lead Delivery and Quality Guarantee

5.1 Lead Delivery

Leads are delivered through the Roffy platform in accordance with the specifications of your selected tier. Delivery timelines depend on geographic availability, tier selection, and market conditions. Roffy does not guarantee a specific delivery date or volume unless explicitly stated in a separate written agreement.

5.2 Lead Quality Guarantee

Roffy stands behind the quality of the leads we deliver. If you believe a lead is materially defective (e.g., the property does not exist, the contact information is entirely fabricated, or the property has no roof), you may report the issue within seven (7) calendar days of lead delivery.

5.3 What Does Not Qualify for Replacement

The following are not considered lead quality issues and do not qualify for replacements:

• The homeowner did not answer the phone or respond to outreach.
• The homeowner answered but expressed no interest in roofing services.
• The homeowner already had work completed or chose a different contractor.
• The Contractor failed to contact the lead within a reasonable timeframe.
• The lead information was accurate but the Contractor was unsatisfied with the outcome of their sales effort.
• Issues reported after the 7-day reporting window has closed.

6. Regions, Slot Capacity, and Exclusivity Lockout Periods

Roffy organizes coverage into named multi-county Regions (e.g. "Charlotte Metro," "Triangle NC," "Tampa Bay"). Each Region bundles a fixed list of ZIP codes within one or more counties. When you subscribe, you are assigned to one Region, and your account receives leads only from properties located in that Region.

6.1 Region Capacity

Each Region's capacity is determined by the lead inventory we can reliably deliver each month, less a safety buffer for inventory variance. Different subscription tiers consume different amounts of that capacity (Starter: 50 leads/month, Pro: 150 leads/month, Elite: 400 leads/month, Enterprise seats: 150 leads/seat/month equivalent), so the total number of contractors a Region holds depends on the tier mix of its subscribers, not a fixed headcount. As a representative example, a Region with ~30,000 estimated annual leads typically holds 6–15 retail subscribers, depending on tier mix.

Capacity calculations may be adjusted by Roffy on a per-Region basis when lead inventory or buffer assumptions change. Material reductions affecting existing subscribers will be communicated with at least thirty (30) days' notice. New signups are gated against current capacity at checkout; if a Region is at capacity for the requested tier, the customer is offered the waitlist instead of completing payment.

6.2 Enterprise Per-Region Cap

To prevent a single Enterprise account from monopolizing a Region and crowding out Retail contractors, Enterprise seats are capped at 40% of any Region's slot capacity. Of that 40%, no single Enterprise account may hold more than 50% (i.e., no single Enterprise customer holds more than 20% of any Region's total slots).

6.3 Per-Lead Exclusivity Lockout

Within your assigned Region, every lead delivered to you is locked exclusively to your account for the duration of your tier's exclusivity window: 30 days for Starter, 60 days for Pro, and 90 days for Elite, measured from the delivery date. Enterprise lockout windows are 60 or 90 days under negotiated agreements. Roffy will not sell the same lead to another contractor during the lockout window.

After the lockout period expires, Roffy reserves the right to include that lead data in orders for other contractors. Exclusivity applies only to the specific lead data delivered; it does not prevent other contractors from independently identifying the same property through their own means.

6.4 Region Waitlist

When a Region is at slot capacity, new signup requests for that Region are placed on a waitlist in the order received. As existing contractors release or cancel Region slots, waitlist entries are offered the slot via email in order.

6.5 Mid-Cycle Cancellation and Region Release

Your Region slot reservation ends when your subscription ends (i.e., at the end of the cycle you paid for). Cancellation does not refund the remainder of the cycle, and your Region slot does not release back to the market until that cycle ends.

6.6 Region Reassignment and Boundary Changes

Roffy may, in its discretion, adjust Region boundaries (the ZIP codes included in a Region) from time to time to reflect operational data. Material boundary changes affecting your Region will be communicated to you with at least thirty (30) days' notice, and you may switch to an adjacent Region or terminate your subscription without penalty during that notice window.

7. Acceptable Use Policy

When using leads obtained through Roffy, you agree to:

• Comply with all applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all Do Not Call (DNC) regulations.
• Check all phone numbers against the National Do Not Call Registry and any applicable state DNC lists before initiating telephone solicitation.
• Honor all opt-out, unsubscribe, and do-not-contact requests promptly.
• Identify yourself and your company accurately in all communications with leads.
• Use leads solely for the purpose of offering legitimate roofing services.
• Maintain records of your outreach activities as required by law.

8. Prohibited Uses

You expressly agree not to:

• Redistribute, resell, sublicense, or share leads obtained through Roffy with any third party, including other contractors, lead aggregators, or marketing companies.
• Use leads for any purpose other than offering roofing or related home improvement services.
• Harass, threaten, or engage in abusive conduct toward any individual whose information is included in a lead.
• Use automated dialing systems, robocalls, or pre-recorded messages to contact leads in violation of the TCPA.
• Send unsolicited commercial email in violation of the CAN-SPAM Act.
• Contact leads using any method prohibited by applicable law.
• Attempt to reverse-engineer, scrape, or extract Roffy's proprietary data, algorithms, or systems.
• Use the Service to compete with Roffy or to build a competing product or service.
• Access the Service using automated bots, scripts, or crawlers without prior written consent.
• Share account login credentials with any third party or allow multiple businesses to operate under a single contractor account.
• Operate more than one contractor account per business entity without written consent from Roffy (enterprise accounts are handled separately under Section 4.5).

Violation of this section may result in immediate account termination without refund, and you may be held liable for any resulting damages.

8A. API Access, Technology Protections, and Confidentiality

8A.1 API Usage Restrictions

If you are granted access to Roffy's application programming interface (API), you agree to the following additional terms:

• Authentication credentials (API keys, tokens, session identifiers) are confidential. You must not share, publish, embed in client-side code, or otherwise expose your credentials to unauthorized parties.
• You must not exceed documented rate limits, attempt to circumvent access controls, or probe for undocumented endpoints or functionality.
• You must not cache, store, or retain API response data beyond what is necessary for your authorized use case, and in no event longer than ninety (90) days from the date of retrieval.
• You must not use API data to train machine learning models, build derivative datasets, create competing scoring algorithms, or develop any product or service that competes with Roffy.
• You must not use automated tools, bots, or scripts to systematically extract, scrape, crawl, or harvest data from the API or the Roffy platform beyond normal authorized usage.
• Any integration, application, dashboard, or tool built on or incorporating Roffy's API must be disclosed to Roffy in writing before being made available to third parties.

8A.2 Reverse Engineering Prohibition

You must not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, scoring formulas, machine learning pipelines, or underlying architecture of Roffy's platform, API, or any related technology. This prohibition applies regardless of the method used, including but not limited to analysis of API inputs and outputs, traffic monitoring, binary inspection, or behavioral inference.

8A.3 Trade Secret and Proprietary Method Protections

You acknowledge that the following constitute trade secrets and proprietary information of CFD Ventures LLC (d/b/a Roffy):

• Lead scoring algorithms, confidence scoring methodologies, and the specific combination of data sources used to generate scores.
• Satellite imagery and computer vision analysis techniques used to assess roof conditions.
• Data pipeline architecture, including the methods by which permit data, parcel records, and skip-trace information are aggregated, correlated, and processed.
• Region allocation logic, capacity formulas, and dynamic Tier Cap calculations.
• Enterprise tier pricing models, volume discount structures, and partner provisioning workflows.

You agree not to use, disclose, or exploit any of the above information for any purpose other than your authorized use of the Roffy platform. These obligations survive termination of your account and these Terms.

8A.4 Data Resale and Distribution

Lead data, scoring outputs, API responses, and any derivative data obtained through the Roffy platform are licensed solely for your internal business use as described in Section 10. You must not resell, sublicense, redistribute, syndicate, publish, or otherwise make available any Roffy data to third parties, whether for compensation or otherwise. This includes sharing data with affiliated companies, parent entities, subsidiaries, or franchisees unless such sharing is authorized under a separate written enterprise agreement with Roffy.

8A.5 Security and Breach Notification

You must implement reasonable security measures to protect any Roffy data and API credentials in your possession. In the event of any unauthorized access to, or disclosure of, Roffy data or credentials, you must notify Roffy in writing within forty-eight (48) hours of discovering the breach and cooperate fully with Roffy's investigation and remediation efforts.

8A.6 Remedies for Violation

Violation of any provision in this Section 8A may result in immediate suspension or termination of your API access and/or account without refund. Roffy reserves the right to seek injunctive relief, actual damages, and recovery of reasonable attorneys' fees for any breach of this section. You acknowledge that unauthorized use, disclosure, or exploitation of Roffy's trade secrets and proprietary methods would cause irreparable harm for which monetary damages would be inadequate.

9. Data Accuracy Disclaimer

Leads provided through Roffy are compiled from publicly available data sources including, but not limited to, public property records, county assessor databases, building permit records, satellite and aerial imagery, and commercially available people-search databases.

Roffy does not guarantee the accuracy, completeness, or currentness of any lead data. Property conditions may have changed since the data was collected. Homeowner contact information may be outdated. Roof condition assessments are estimates based on available data and imagery, not physical inspections.

Leads are provided on an "as-is" and "as-available" basis. While we employ reasonable measures to verify data quality, the nature of public-record data means that some inaccuracies are inevitable. Your exclusive remedy for lead quality issues is the replacement policy described in Section 5.

10. Intellectual Property

All content, features, functionality, software, data compilations, algorithms, scoring models, branding, trademarks, and trade dress associated with roffy.io and the Roffy platform are the exclusive property of CFD Ventures LLC (d/b/a Roffy) or its licensors and are protected by United States and international intellectual property laws.

Your purchase of leads grants you a limited, non-exclusive, non-transferable license to use the delivered lead data solely for the purpose of contacting potential customers for your roofing business. This license does not include the right to reproduce, redistribute, or create derivative works from the data, nor does it grant any rights to Roffy's underlying technology, algorithms, or methods.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• ROFFY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ROFFY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• IN NO EVENT SHALL ROFFY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR REPUTATIONAL HARM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ROFFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• ROFFY IS NOT LIABLE FOR ANY FINES, PENALTIES, OR DAMAGES ARISING FROM YOUR FAILURE TO COMPLY WITH APPLICABLE LAWS, INCLUDING THE TCPA, CAN-SPAM ACT, OR DNC REGULATIONS, WHEN CONTACTING LEADS.
• ROFFY IS NOT LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM THE ACTIONS OR OMISSIONS OF HOMEOWNERS OR PROPERTY OWNERS INCLUDED IN LEADS.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Roffy's liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless CFD Ventures LLC (d/b/a Roffy), its officers, directors, members, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any lead data provided through the Service.
• Your violation of these Terms.
• Your violation of any applicable law, regulation, or third-party right, including but not limited to the TCPA, CAN-SPAM Act, and DNC regulations.
• Any communications, solicitations, or other contacts you initiate with leads obtained through the Service.
• Any claims by homeowners, property owners, or other third parties arising from your outreach activities.
• Your negligence or willful misconduct.

This indemnification obligation survives the termination of your account and these Terms.

13. Termination

13.1 Termination by You

You may cancel your account at any time from your dashboard's Billing section or by contacting us at hello@roffy.io. For monthly subscriptions, cancellation takes effect at the end of the current billing cycle. No refunds are issued for partial billing periods or unused leads.

To avoid the next charge, cancellation must be received before 11:59 PM ET on the day before your next scheduled billing date. Cancellations take effect at the end of the current paid cycle — you keep access and leads through the end of that cycle.

13.2 Termination by Roffy

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for immediate termination include, but are not limited to:

• Violation of these Terms, including the Acceptable Use Policy or Prohibited Uses.
• Redistribution or resale of lead data.
• Non-payment or repeated payment failures.
• Fraudulent or abusive conduct.
• Any activity that, in our sole judgment, poses a legal or reputational risk to Roffy.

13.3 Effect of Termination

Upon termination, your right to access the Service and use any uncontacted leads ceases immediately. Sections that by their nature should survive termination (including Sections 8, 10, 11, 12, 14, 15, and 17) shall survive.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact Roffy at hello@roffy.io and attempt to resolve the dispute informally for at least thirty (30) days.

14.2 Binding Arbitration

If a dispute cannot be resolved informally, you and Roffy agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration conducted in Mooresville, North Carolina, in accordance with the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND ROFFY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Iredell County, North Carolina, to protect intellectual property rights or to prevent irreparable harm.

15. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms, the exclusive venue shall be the state and federal courts located in Iredell County, North Carolina, and you consent to personal jurisdiction in such courts.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any separate written agreements executed between you and Roffy, constitute the entire agreement between you and Roffy regarding the Service. These Terms supersede all prior agreements, representations, warranties, and understandings, whether written, oral, or implied, relating to the subject matter herein.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Roffy's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Changes to Terms

Roffy reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you via email or through a notice on the platform.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
